TERMS AND CONDITIONS FOR ONLINE COURSE PURCHASES

These Terms and Conditions for Online Course Purchases govern the conditions applicable to the purchase of courses, educational programmes, digital content and, where applicable, educational services offered through the GenHERate IQ website (the “Website”).
Browsing the Website and purchasing courses offered through it implies acceptance of these Terms and Conditions, without prejudice to any specific terms that may apply to certain courses or programmes and which, where applicable, will be communicated to the user before the purchase is completed.

Scope of the Purchase
Through the Website, GenHERate IQ offers online courses and educational programmes that may include videos, text, documents, learning materials, exercises, quizzes, educational sessions, downloadable resources, interactive content and other digital materials.
The essential characteristics of each course will be specified on the relevant sales page before the purchase is completed, including, where applicable, its title, content, programme or syllabus, format, duration or access period, technical requirements, price, applicable taxes and any other relevant conditions.
The information published for each course forms part of the applicable terms of purchase and should be reviewed by the user before making a purchase.
Unless expressly stated otherwise in the course description, the purchase of a course does not include in-person training, individual tutoring, live sessions, official qualifications, professional accreditations or any other services not expressly included in the offer.
Users and Capacity to Contract
Courses offered through the Website may be purchased by adults who have sufficient legal capacity to enter into a contract.
Where a user acts on behalf of a company, entity or organisation, the user represents that they have sufficient authority to enter into the transaction and bind the relevant entity.
Where certain courses are specifically intended for professionals or groups subject to particular eligibility requirements, such requirements must be met in accordance with the course description.
Where necessary, GenHERate IQ may request additional information to verify compliance with the eligibility requirements for certain educational programmes.
Pre-Contract Information
Before making a purchase, the user will have access to the essential information relating to the course they intend to purchase.
In particular, clear and comprehensible information will be provided regarding the main characteristics of the course, its price, applicable taxes, method of delivery, access conditions, duration or availability period, available payment methods and any other condition relevant to the purchasing decision.
The user should review this information before confirming the order.
The presentation of courses on the Website does not in itself constitute acceptance of a contractual offer by the Foundation, but rather an invitation to the user to submit a request to purchase in accordance with the procedure established on the Website.
Purchase Process
To purchase a course, the user must select the educational product they wish to purchase and follow the instructions displayed on the Website.
During the purchase process, the user must provide the information necessary to manage the purchase and, where applicable, create a user account or identify themselves using the relevant credentials.
Before placing the order, the user will be able to review the purchase details and correct any errors.
The contract will be concluded when the user expressly confirms the order using the mechanism provided on the Website and GenHERate IQ subsequently confirms the purchase.
The button or mechanism used to place the order must clearly indicate that placing the order entails an obligation to pay, in accordance with applicable consumer protection legislation.
Once the purchase has been completed, GenHERate IQ will provide the user with confirmation of the purchase on a durable medium, normally by email, including or making available the relevant information relating to the purchase.
Prices and Taxes
The price of each course will be the price displayed on the Website at the time of purchase.
Course prices will be displayed in euros (€). Any legally applicable taxes will be calculated and displayed during the checkout process in accordance with applicable tax legislation and the circumstances of the transaction, before the user confirms the order.
Where discounts, promotions, promotional codes, temporary offers or special conditions apply, their validity period and, where applicable, the requirements for their application will be indicated.
Promotions may not be combined unless expressly stated otherwise.
GenHERate IQ reserves the right to change course prices at any time. However, price changes will not affect purchases that have already been completed and confirmed.
Payment Methods
The user may make payment using the payment methods available on the Website at the time of purchase.
Payments will be processed through the payment gateway available on the Website using Stripe. Users may pay by credit or debit card and, where available, by other payment methods supported by the platform and enabled during checkout.
Payment must be made for the full amount indicated before the purchase is completed, unless an instalment payment option or other specific payment arrangement has been expressly provided.
Where payment is processed through an external payment platform or payment service provider, the transaction may also be subject to that provider’s applicable terms and conditions.
GenHERate IQ will not have access to the user’s complete payment credentials where these are managed directly by the relevant specialist provider, without prejudice to any information GenHERate IQ may receive as necessary to confirm the transaction and manage the purchase.
If payment is declined, unauthorised or subsequently remains unpaid, GenHERate IQ may suspend or prevent access to the course until the situation has been resolved, without prejudice to the rights of either party.
Purchase Confirmation
Once payment has been successfully completed, GenHERate IQ will send confirmation of the purchase to the email address provided by the user during checkout.
The confirmation may include, among other information, identification of the course purchased, the price, purchase date, essential access conditions and, where applicable, instructions for accessing the content.
The user should retain this confirmation as evidence of the purchase.
Access to Courses
Unless otherwise stated in the course description, access to the content will be enabled once payment has been confirmed.
Where applicable, once payment has been confirmed, the user’s account on the educational platform associated with GenHERate IQ will be automatically created or updated and the user will be enrolled in the course or content purchased.
Access may be provided through a personal user account, individual link, learning platform or any other technological system made available by GenHERate IQ.
The specific access conditions, including the duration of access, will be determined by the information published for each course.
Where a specific access period is established, expiry of that period may result in the user losing access to the content unless expressly stated otherwise.
Access credentials are personal and non-transferable. Users may not share, transfer, sell or otherwise provide third parties with access to their course.
GenHERate IQ may take appropriate measures to prevent unauthorised access or fraudulent use of accounts.
Immediate Supply of Digital Content and Right of Withdrawal
Where the course purchased constitutes digital content supplied by download, online access, streaming or another means that does not involve a tangible medium, consumers generally have a period of fourteen calendar days in which to exercise their right of withdrawal, unless a statutory exception applies.
However, where the user expressly requests that access to the digital content begin before the end of that period and expressly acknowledges that, once supply of the digital content has begun under the conditions established by applicable law, they will lose their right of withdrawal, that right may be excluded in accordance with applicable legislation.
Accordingly, where applicable, before completing the purchase the user will be asked to provide their express acceptance by means of a separate, unticked checkbox.
Such acceptance must provide clear evidence that the user:
a) has expressly requested the immediate supply of the digital content; and
b) has acknowledged that, as a consequence of the commencement of supply, they may lose their right of withdrawal.
Payment or the creation of a user account alone will not replace such express consent where it is legally required.
The exclusion of the right of withdrawal will apply only where all requirements established by applicable consumer protection legislation have been met.
Exercising the Right of Withdrawal Where Applicable
Where the right of withdrawal applies, consumers may exercise it within the statutory period of fourteen calendar days without giving any reason and without penalty, except in circumstances expressly provided for by law.
The right of withdrawal may be exercised by means of an unequivocal statement communicating the consumer’s decision to withdraw from the contract.

Where GenHERate IQ receives a valid withdrawal request, it will provide the consumer with confirmation of receipt where applicable.
Where a refund is legally required, it will be made using the same means of payment used by the consumer, unless another legally permitted method has been expressly agreed.
Access Issues and Technical Problems
GenHERate IQ will take reasonable measures to keep purchased courses available and provide users with access to the content they have purchased.
However, temporary interruptions may occur as a result of maintenance, updates, technical incidents, connectivity issues, actions by technology providers or circumstances outside GenHERate IQ’s reasonable control.
Where an incident unjustifiably prevents access to purchased content, GenHERate IQ will seek to resolve it within a reasonable period.

Users should provide, where possible, the affected course, the account used, the nature of the issue and any technical information necessary to facilitate its resolution.
Technical Requirements
To access the courses correctly, users must have the necessary technical resources, including, as applicable, an Internet connection, a compatible device and an up-to-date web browser.
Unless expressly stated otherwise, GenHERate IQ will not be responsible for limitations arising from devices, operating systems, browsers, Internet connections or technical configurations outside its control.
Where a course requires specific technical requirements, these will be indicated before purchase on the relevant course page.
Intellectual Property Rights
All content included in the courses, including, without limitation, videos, text, presentations, documents, learning materials, graphics, images, audio, exercises, quizzes, methodologies and other resources, is protected by applicable intellectual property laws.
Purchasing a course grants the user only a personal right to access and use the content during the period and under the conditions established for the course purchased.
The purchase does not transfer any intellectual property rights or grant a licence to commercially exploit the content.
Unless prior written authorisation has been obtained from GenHERate IQ or otherwise permitted by law, the reproduction, distribution, communication to the public, making available, adaptation, commercialisation, publication, transfer, sharing or exploitation of course content is expressly prohibited.
Recording, downloading or extracting content is also prohibited where such functionality has not been expressly enabled by the platform.
Failure to comply with these conditions may result in appropriate legal action.
Personal and Non-Transferable Use
Access to a purchased course is intended exclusively for the user identified as the participant or beneficiary of that access and is personal and non-transferable, unless GenHERate IQ has expressly established a different purchasing arrangement.
Where access is linked to a personal account, users are responsible for maintaining the confidentiality of their credentials and preventing unauthorised third-party access to the content.
If unauthorised access or fraudulent use of an account is detected, the user must notify GenHERate IQ as soon as reasonably possible.
GenHERate IQ may temporarily suspend an account where there are reasonable indications of fraud, unauthorised account sharing, infringement of intellectual property rights or breach of these Terms and Conditions, provided that any measures adopted are proportionate and respect the user’s statutory rights.
Educational Content and Purpose
Courses offered by GenHERate IQ are provided solely for educational and informational purposes unless expressly stated that a particular programme leads to an officially recognised qualification, certification or accreditation.
Completion of a course does not in itself guarantee any particular professional, financial, academic or employment outcome.
GenHERate IQ content is educational in nature and does not replace the clinical judgement or individual assessment that healthcare professionals are responsible for exercising in their professional practice. Any application of the knowledge or content acquired must take into account the circumstances of each individual case and the applicable laws, guidelines and professional standards.
Where recommendations, examples, tools, methodologies or practical materials are provided, users must assess their suitability for their particular circumstances.
Educational content must not be interpreted as individualised medical or professional advice where a service of that nature has not expressly been contracted.
Certificates
Where a course offers the possibility of obtaining a certificate of completion, the requirements for obtaining it will be specified.
Unless expressly stated otherwise, the certificate will only confirm completion or successful completion of the course in accordance with the criteria established by GenHERate IQ and must not be interpreted as an official qualification or professional accreditation recognised by a public authority or regulatory body.
Where a course has a specific external accreditation, recognition or certification, this and the applicable conditions will be expressly stated in the information relating to the course.
Cancellations and Refunds
Cancellations, returns and refunds will be governed by applicable law and by any specific conditions established for the relevant course.
Where the purchase relates to digital content and supply has commenced with the user’s express consent and acknowledgement of the loss of the right of withdrawal in accordance with applicable legal requirements, withdrawal will not be available on that basis.
This is without prejudice to any rights available to consumers in the event of lack of conformity of digital content, breach of contract, inability to access the course or any other circumstances recognised by law.
Nothing in these Terms and Conditions limits any mandatory rights granted to consumers under applicable consumer protection legislation.
Conformity of Digital Content
GenHERate IQ will be liable to consumers for any lack of conformity affecting digital content or services in accordance with applicable legislation.
Where a course has access, functionality or conformity issues attributable to GenHERate IQ, the user may report the issue so that it can be assessed and, where appropriate, the legally applicable measures may be taken, including bringing the content into conformity, updating, repair, replacement, price reduction or termination of the contract.
These remedies will not be excluded by the provisions relating to the right of withdrawal.
Changes to Courses
GenHERate IQ may make changes, updates or improvements to course content, structure, functionality or resources where necessary to keep courses up to date or improve their quality.
Where a change materially affects the agreed conditions or the user’s rights, GenHERate IQ will act in accordance with applicable law.
No changes will be made for the purpose of depriving users of rights to which they are legally entitled.
Availability of Content
GenHERate IQ will seek to ensure that purchased courses remain available throughout the access period specified in the relevant offer.
Where, for justified reasons, content must be permanently withdrawn during a purchased access period, GenHERate IQ will, where appropriate, take reasonable measures to provide an equivalent alternative or otherwise ensure that the user’s statutory rights are respected.
Invoicing
Where applicable, users will receive an invoice or other proof of purchase in accordance with applicable tax legislation.
The tax information necessary for issuing an invoice may be requested.
Users are responsible for providing accurate and up-to-date information for the correct issue of the relevant documentation.
Personal Data Protection
The processing of personal data necessary to manage the purchase, process payment, provide access to the course, create or update the user’s account on the educational platform where applicable, issue invoices, provide support and comply with relevant legal obligations will be carried out in accordance with the GenHERate IQ Privacy Policy.
The Privacy Policy is a separate document from these Terms and Conditions and will be available to users before the purchase is completed.
Purchase-Related Communications
Communications necessary to manage the purchase, including purchase confirmations, access information, creation or updating of the user’s account on the educational platform, incidents, invoicing or communications relating to the course purchased, may be sent by email or through other contact methods provided by the user.
These communications are contractual or service-related in nature and should not be confused with marketing communications, which will be governed by their own legal basis and by the conditions established in the Privacy Policy.

Consumers retain the right to refer matters to any competent bodies, authorities, alternative dispute resolution mechanisms or courts available to them under applicable law.
Governing Law and Jurisdiction
Purchases made through the Website will be governed by Spanish law, without prejudice to any rights consumers may have under mandatory rules applicable by virtue of their place of residence.
Where the user is a consumer, the courts having jurisdiction will be those determined by the applicable rules on jurisdiction, and nothing in these Terms and Conditions shall establish a jurisdiction clause that limits any rights granted to consumers by law.
In relationships with users acting as businesses or professionals, and where legally permitted, the parties will submit to the courts having jurisdiction under applicable law and, where appropriate, to any jurisdiction specifically established in the relevant specific terms of purchase.
Acceptance of these Terms and Conditions
Before completing a purchase, users must be able to access these Terms and Conditions and expressly accept those applicable to the purchase.
Acceptance of the Terms and Conditions must be given by a positive action on the part of the user and not through pre-ticked boxes.
Where necessary to commence the immediate supply of digital content and exclude the right of withdrawal, separate and express acceptance of this circumstance will also be requested.
The purchase will be recorded electronically and GenHERate IQ will retain the information necessary to demonstrate the existence and terms of the contract for the period required by law.
Severability
If any provision of these Terms and Conditions is declared wholly or partially null, invalid or unenforceable, this will not affect the validity of the remaining provisions.
The affected provision will be replaced or interpreted, to the extent legally possible, in a manner that most closely reflects its original purpose while respecting all rights granted to consumers by law.
Updates to these Terms and Conditions
GenHERate IQ may update or amend these Terms and Conditions where necessary to reflect legislative, regulatory, technological or commercial changes or changes to the services offered.
The version applicable to each purchase will be the version published on the Website at the time the purchase is made, without prejudice to any amendments that must legally apply to contracts already concluded under applicable legislation.
